Strategy, governance and performance of medium-sized enterprises: what is the impact of the stock exchange?

Abstract

This article looks at the problems relating to the Stock Exchange listing of medium-size companies and its impact on the strategic control of management and performance. The study rests on the traditional justifications of the theory of governance. It stipulates that financial market reinforces management’s arsenal of control, reduces managerial latitude and governs strategic behaviour. It is thus important to know if listing is conducive to an improvement in the overall performance of medium-size companies. With this aim, we carried out a statistical study which was both longitudinal, covering a period of seven years (comparison before/after flotation) and transversal, bearing on 65 listed medium-size companies which were compared with similar medium-size unlisted companies over the same time span. These tests were reinforced by the application of econometric tools to panel data.
