Abstract

The sixth edition of this manual of company law provides an accurate account of developments in the case-law, academic controversy and legislative reforms, in particular Act No 2019-486 of 22 May 2019 (aimed at ‘empowering businesses to innovate, transform, grow and create jobs’) and the Law on the simplification, clarification and updating of company law No 2019-744 of 19 July 2019, which disrupt many parts of company law. This edition deals with these new pieces of legislation, not to mention the main case-law decisions and academic discussions. This book deals with issues relating to civil and commercial companies, economic interest groups and groups of companies. It sets out the practical arrangements for the creation, operation and change of member companies. After a preliminary part which leads the reader to “become acquainted” with company law, the “general company law” is presented, i.e. the rules common to all companies and the “special company law”, i.e. the rules specific to each company”. The book is aimed primarily at students from the faculties of law. It also targets students in administration and communication, economic sciences and management, students from IUT, business and management schools.
