From rivalry to Partnership: Financial and Strategic Analysis of Sadia and Perdigão

Abstract

The case discusses the real process of merger of two large companies in the Brazilian food sector - Sadia and Perdigão - with the creation of Brasil Foods (BRF). The text is divided into three time horizons. Initially, we present a brief history of the companies and the prior context to the merger between them, including the analysis of the financial crisis occurred at Sadia in 2008, due to risky strategies with the use of financial derivatives. Then, we present the main implications and implementation of the union between the companies. Years after the creation of BRF, the reader is invited to examine the financial performance of it. Thus, the aim of the case is that the students analyze the process of merger of Sadia and Perdigão, from the financial point of view, as well as its development, with the creation of BRF. The learning emphasis is related to the analysis of the types of risk involved in the merger process, the corporate governance mechanisms and the performance analysis post-merger, through economic, financial and stock analysis indicators. The case can be used in undergraduate and postgraduate courses in the Finance area.
