En The Argentinian legislature is discussing the sanctioning of a law creating companies by simplified shares. This is a new type of company which, in our view, is erroneously proposed to be created, by means of a separate and separate law governing the other companies, i.e. the general company law. The new company is characterised by the fact that its formation and registration are subject to minimum requirements (it may be a single person, the minimum capital required is low, etc.), because it is intended to have a simple and dynamic operating structure and because the liability of the members is limited to their contributions. The aim of the project is plausible, but it suffers from a number of flaws, one of the most important of which is that the project itself fails to comply with the promise of simplicity and proposes a comprehensive, complex and overwhelming regulation of different aspects of the new corporate type.
